1.
Definitions
Web Hosting
Is an internet service provided by
an individual or business that allows the publishing of website files to the
World Wide Web that are stored on a server in a central location of a facility
used for housing data.
Design
Images, pictures, fonts, animation,
colors & any items used to create the design of your website.
Development
The design elements are put together
to bring about the appearance of your website for presentation on the World
Wide Web.
Development
& Live Web Address
The development web address is a sub
domain in the form of (example): http://develop.myfirstwebsite.com.
This is where all the development & reviews will take place on your website
before any area of your website goes live (It is recommended that this web
address is not given out to others).
The live web address (example) http://www.myfirstwebsite.com/
is the location where all of your visitors will be able to view the website.
Domain
Registration
It’s a process that allows you to
secure a domain or website such as (example) http://www.mywebsite.com.
Once you register your domain you become the owner for the period of time that
it was purchased and if you choose to, must be renewed to continue ownership
for ‘x’ amount of years of your choice.
If you do not renew your domain it will become available to the public
for re-purchase. Registering and renewing
your domain is the sole responsibility of the customer.

2. Hosting
D-Zign IT,
LLC serves as a web hosting provider with the ability to design and develop
websites for the client. We do not offer web hosting packages for
development. We will make every reasonable
effort to ensure the client’s website is up and running at all times. D-Zign IT, LLC will not be liable for any damages that occur
by events that are beyond our control. These events may include but are not
limited to, service provider interruptions, acts of God, individual computer
malfunctions, and internet, desktop or 3rd party software that may affect the
use of the clients’ website.
Website
Maintenance
Site maintenance will be done
throughout the term of service with D-Zign IT,
LLC. This includes updating links,
spelling corrections, sentence & paragraph updating and any other changes
that do not involve the reconstruction or rearranging of a page that presents a
new look. The creations of new pages or additions such as but not limited to
guestbook’s, blog’s, discussion boards, and forums may fall under new additions
or pages and will accrue a charge.

3. Design &
Development
Resources
D-Zign IT, LLC reserves the right to assign affiliates and or
subcontractors to the client’s web design phases in order to meet the client’s
needs and estimated date of completion.
Graphic Updates
& Creations
Modifications
& creation of new graphics or images, after the completion of the website
will be billed at an hourly rate of $60.00 (Please Note: This rate is subject
to change at any time).
New Pages
Requests for page modifications that result in a completely new look or the
creation of new web pages will be assessed by D-Zign
IT, LLC and will be charged at an hourly rate of $60/hr. (Please Note: This
rate is subject to change at any time).
4. Website
& Design Ownership
D-Zign IT, LLC - its' affiliates and or subcontractors
reserve the right to be acknowledged as the original author(s)/creator(s) of
the clients website, logo, and any other
related design or development that is completed for the client by us. We also
reserve the right to use the original works as a display in any format (e.g.
electronic, print, web & etc) to showcase all works created. Copyright to all original works will belong
to the client once the project is completed and final payment is made.
The
submission of graphics, text, photos, artwork, designs and any other original
works that are requested to be included in the design that is not owned by the
client must have documentation signed by the client stating permission was
obtained by the author allowing use of these materials on the clients
site. This will ensure that D-Zign IT, LLC - its affiliates and subcontractors are free
from any liability such as attorney's fees, court costs, claims or lawsuits
that come from the use of such items provided by the client.
5. Estimated
Completion Date
D-Zign IT, LLC will always work with the client to insure the
client’s website will be designed and developed within the given time frame
which is an estimated completion date provided by D-Zign
IT, LLC or agreed upon by D-Zign IT, LLC and its’
client's. Work begins as soon as we
obtain majority of your website materials (i.e. content, design elements, any
other related items) and any fee that is due before or after each phase or
scheduled payment.
If any
design items or related content is not submitted in a timely manner, it will
affect the estimated completion date of the website.
D-Zign IT, LLC reserves the right to change the estimated
completion date at any time and for any reason.
We will not change this date without first notifying the client of these
changes.
Going Live
(Publishing)
The client
will be provided with the development web address once the website is ready to
be reviewed for approval before it goes live. Once the client approves the
website and final payment is made, the site will be moved to the live web
address.
6. Payments
Schedule & Late Fees
All payments must be made on time. If a payment is not received on time, D-Zign IT, LLC reserves the right to suspend (i.e. remove,
takedown, make unavailable) any website until full payment has been made.
Website -
Payment Schedule
First,
there will be a non-refundable initial design fee that is 25% of the estimated
cost to begin the initial design (i.e. mock) of the site. If the customer decides to continue with the
design, the 25% will be applied towards the final cost of the sites development.
The second
payment will be 25% as well, totally 50%, and will be due at the end of the
design phase. Once payment is received,
the development of the site will begin.
The final
payment will be due at the end of the development phase, once the website is
completed. The website will go live once the final payment is received.
Design -
Payment Schedule
There will
be a non-refundable 50% deposit to begin any design or development work
separate from the creation of a website. Once the work is completed the balance
will be due. There will be a 10 day
grace period given from invoicing that if not paid will result in a late fee.
Late Fee
If payment is not received on the due date and is not paid by the end of the
end of the grace period a weekly 15% charge will be applied to the balance
until full payment has been received and any website belonging to the client
will be suspended.
7. Account
Usage
Hosting
with D-Zign IT, LLC is provided to its clients, if
they choose but is not offered as packages on our site at this time. D-Zign IT, LLC will manage all the back end processes ranging
from email setup to major site configurations.
Server space will not be used for storage but solely used for files that
are used on the clients’ site.
Content
Before a site is hosted D-Zign
IT, LLC will determine if the site is of acceptable content and is has lawful
intent. Any site the is found contrary to this, after hosting, and of
non-acceptable content or links then the clients account will be suspended or removed and a notification will be sent
regarding the removal within 3 days in order to locate a new hosting provider.

non-acceptable material are:
Server
Management
Servers are
managed closely and notifications are sent to us once thresholds are reached.
Any account that has reached its threshold will be notified by us to make the
proper changes or we will notify the client of modifications that we will make
to keep the account maintained under its threshold.
If an
account is showing a trend of becoming a repeat offender in the violation of
its account usage, it will be suspended.
If necessary, the account will be removed from our servers.
Upgrade
If an
account is found to be in need of an upgrade from our accounts, indicated by
threshold notifications, D-Zign IT, LLC will notify
the client regarding the an intended move of the clients site to its trusted
affiliate company, Site 5, LLC for hosting. Arrangements will be made at the
time of moving to the affiliate host.
7.1 Abuse
Staff, Contractors,
Affiliates, Customers or any Entity Related To
Our focus
is to provide excellent service & show respect to our clients. We will not
tolerate any behavior, verbal or in writing, against any of our staff,
contractors, affiliates, customers or any entity related to that is demeaning
or rude. The clients’ account will be suspended or removed, determined by D-Zign IT, LLC. If
removal is necessary, the customer will be notified of the removal within 5
days in order to locate a new hosting provider.
SPAM
If an account is found to be spamming
or sending out unsolicited email from our server or involved in any activity
resulting in or is a part of spamming is strictly prohibited. Accounts that
have violated our spam policy will be notified of removal from our servers
within 2 days and no refund will be issued.
Server
Any
attempts to cause Harm to D-Zign IT, LLC server or
other customers will result in immediate removal and all incidents will be
notated and reported to the proper authorities to press charges. No refund will
be given.
8. Policies
Adherence
Any accounts hosted by D-Zign IT, LLC must adhere to the above policies. Failure to
fully comply with these terms is grounds for account suspension or removal that
may or may not include a refund.
Our terms
and conditions also serve as a warning. Suspension of your account is a 2nd
offense. In extreme cases, an account may be removed from our server without
suspension. Please re-read any of the above material regarding removal.
D-Zign IT, LLC reserves the right to suspend or remove any
account at any time for any reason and will notify the client of such actions
& purpose for suspension and removal determined by us.
9. Cancellation
Cancellations
must be done in writing via mail, preferably email within in 30 days of your
desired cancellation date. Web hosting
is free the first year with the 4-IN-1 hosting plan. After the renewal for
the second year, if the client decides to cancel, a refund will be given for
the balance of the unused months. This will result in removal of the website
from our servers.
10. This
Agreement
This is an agreement between D-Zign IT, LLC and its
clients which may include but not limited to web design, development, hosting,
domain registration or any other products or services that are rendered by us.

By
selecting the check box below, the client has read, agrees to and has an
understanding of the terms of this agreement, privacy statement, website
maintenance and information pertaining to domain registration while authorizing
D-Zign IT, LLC to move forward in the development of
the clients’ website or any other products or services rendered by us.
D–ZIGN IT, LLC RESERVES THE RIGHT TO UPDATE THIS TEXT
ANY TIME.
